Terms of Service
1. Agreement to Terms
By accessing or using the ZP Consultants website (zpinson.com) or engaging our professional services (“Services”), provided by ZP Consultants LLC (“Firm,” “we,” “us”), you (“Client,” “you”) agree to be bound by these Terms of Service. If you do not agree, do not use the website or engage our Services.
2. Relationship to Engagement Letter
Professional services engagements are governed by a signed engagement letter between you and ZP Consultants LLC. These Terms of Service are supplementary to, and do not replace, your signed engagement letter. In the event of any conflict between these Terms and your signed engagement letter, the engagement letter shall control.
If you have not signed an engagement letter, these Terms govern your use of the website and any preliminary communications. No professional services will be rendered without a signed engagement letter.
3. Description of Services
ZP Consultants LLC provides CPA-led professional services. The scope, deliverables, responsibilities, timing, and fees for any engagement are defined by the signed engagement letter. Depending on the engagement, services may include:
- Finance, reporting, cash, profitability, and decision-support work
- Internal-controls, operating-cadence, workflow, and systems-advisory work
- Scoped automation or AI-enabled implementation work
- Other services expressly described in the applicable engagement letter
No website content, application, fit conversation, or preliminary communication creates a professional engagement or obligation to provide services.
4. Technology Disclosure
Professional engagements may use automation or AI-enabled tools where appropriate to the agreed scope. The applicable engagement letter and agreed workflow controls define the information, access, approvals, review, and responsibilities for that work. Specifically:
- Technology is selected for the business problem and agreed engagement scope, not as a substitute for professional judgment or client accountability
- Permissions, approvals, review, evidence, and exception handling are designed in proportion to the workflow and its potential impact
- Automation may be deterministic or AI-enabled; it is not represented as autonomous by default
The use of technology does not change the responsibilities, limitations, or standards stated in the applicable engagement letter. Technology is a delivery mechanism; the agreed scope and professional judgment remain controlling.
5. Professional Standards
5.1 CPA Supervision
Professional services are delivered in accordance with the applicable engagement letter and the standards that apply to the specific service. Technology platforms and AI systems do not replace the Firm’s responsibilities under those terms.
5.2 Scope of Services
The scope of professional services is defined in your signed engagement letter. We will not perform services outside the agreed scope without written agreement. In particular:
- Bookkeeping services do not constitute an audit or review under AICPA standards
- Financial advisory services do not constitute investment advice
- Unless specifically engaged for tax preparation, our services do not include tax return preparation or tax advice
5.3 Not Legal or Tax Advice
ZP Consultants provides accounting, bookkeeping, and financial advisory services. We do not provide legal advice. Tax preparation services are provided only when specifically included in your engagement letter. For legal advice, consult a qualified attorney.
6. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely financial records, documents, and information
- Grant authorized access to accounting systems (e.g., QuickBooks Online) as required for service delivery
- Respond to requests for information, clarification, or approval in a timely manner
- Review deliverables and communicate any concerns promptly
- Comply with all applicable laws and regulations
- Not misrepresent financial information provided to the Firm
Delays caused by failure to provide required information or access may affect service timelines and are not the responsibility of the Firm.
7. Fees and Payment
Fees for Services are as described in your signed engagement letter. Unless otherwise specified:
- Monthly service fees are billed at the beginning of each month
- Project-based fees are billed per the terms of the engagement letter
- Payment is due within 15 days of invoice date
Late payments may result in suspension of services after 15 days written notice. Outstanding balances may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
8. Confidentiality
We are bound by the confidentiality requirements of the AICPA Code of Professional Conduct and New York State accountancy regulations. All client financial information, business records, and communications are treated as strictly confidential.
We will not disclose your confidential information to third parties except:
- As authorized by you in writing
- As required by law, regulation, or legal process
- As required by professional standards (e.g., peer review)
- To our technology service providers under data processing agreements, solely for the purpose of delivering your services (see Privacy Policy)
9. Client Data Ownership
You retain full ownership of all your financial records, documents, and data. Work product prepared by the Firm in the course of your engagement (financial statements, reports, analyses) is your property upon full payment of applicable fees.
The Firm retains the right to maintain copies of work papers and records as required by professional standards and applicable law.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZP CONSULTANTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Nothing in these Terms limits liability for fraud, willful misconduct, or gross negligence. Professional liability for CPA services is subject to the standards of care applicable to licensed CPAs in the State of New York.
11. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN YOUR ENGAGEMENT LETTER, THE SERVICES ARE PROVIDED “AS IS.” ZP CONSULTANTS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
We do not guarantee any specific financial outcome, tax result, or business result from our Services. Professional services are delivered in accordance with applicable professional standards and the terms of your engagement letter.
12. Termination
Either party may terminate an engagement with 30 days written notice, unless otherwise specified in the engagement letter. We may terminate immediately if:
- You fail to provide information necessary for service delivery after reasonable request
- You fail to pay fees after 30 days written notice
- Continuing the engagement would violate professional standards or applicable law
Upon termination:
- Outstanding fees for services rendered remain due
- We will provide reasonable assistance in transitioning your records to a successor firm
- We will retain work papers and records as required by professional standards
- Client Data will be handled per our Privacy Policy
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Rockland County, New York.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or posted on this page at least 30 days before taking effect. Changes do not affect the terms of existing signed engagement letters.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy and your signed engagement letter, constitute the entire agreement between you and ZP Consultants LLC regarding the Services. The signed engagement letter takes precedence over these Terms where they conflict.
